By accessing or using InventBill ("Service", "Platform", "We", "Us", or "Our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and InventBill regarding your access to and use of the Service.

2. Description of Service

InventBill is a cloud-based multi-tenant business management platform that provides:

• Inventory management and stock tracking
• Invoice generation and billing management
• Customer relationship management (CRM)
• Human resources and attendance tracking
• Financial reporting and analytics
• Multi-user collaboration with role-based access control

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

To use InventBill, you must:

• Be at least 18 years old or have parental consent
• Provide accurate, complete, and current information
• Maintain the security of your account credentials
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized access

You may not share your account credentials or transfer your account to another party without our written permission. Each organization must have a unique account.

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Upload or transmit viruses, malware, or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to send spam or unsolicited communications
• Scrape, harvest, or collect user information without permission
• Impersonate any person or entity
• Use the Service to compete with us or build similar products

5. Subscription and Payment

5.1 Plans and Pricing

We offer multiple subscription plans (Free, Starter, Professional, Enterprise) with different features and limits. Current pricing is available on our website and may be updated with notice.

5.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is due at the start of each billing period
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method automatically
• Failed payments may result in service suspension

5.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of the next billing period. If you exceed plan limits, we may require you to upgrade or may suspend service.

6. Data Ownership and Security

6.1 Your Data

You retain all rights to the data you input into InventBill ("Customer Data"). You are responsible for:

• The accuracy, quality, and legality of Customer Data
• Obtaining necessary rights to use and share Customer Data
• Complying with applicable data protection laws
• Backing up critical data independently

6.2 Data Security

We implement industry-standard security measures including:

• Row-Level Security (RLS) for multi-tenant data isolation
• Encryption of data in transit and at rest
• Regular security audits and updates
• Access controls and authentication mechanisms
• Disaster recovery and backup procedures

7. Intellectual Property

The Service, including all software, text, images, logos, and other content (excluding Customer Data), is owned by InventBill and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You may not copy, modify, distribute, or create derivative works without our written permission.

8. Termination

8.1 By You

You may terminate your account at any time through your account settings or by contacting support. Upon termination, you will lose access to the Service and your data may be deleted after a grace period.

8.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your payment fails or is disputed
• We are required to do so by law
• Your use poses security or liability risks
• We discontinue the Service

9. Warranties and Disclaimers

We disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted, timely, secure, or error-free service
• Accuracy or reliability of results or information
• Correction of defects or errors

10. Limitation of Liability

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 if you have not paid us anything.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
